Mutual Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement (the "Agreement") is entered into as of [Effective Date] by and between:
[Company Name], with its principal office at [Address] ("Disclosing Party"), and [Recipient Name], residing/having business at [Address] ("Receiving Party").
1. Definition of Confidential Information
"Confidential Information" means any proprietary data, client lists, technology secrets, pricing data, codes, or product roadmaps disclosed by one party to the other, whether marked confidential or not.
2. Obligation of Confidentiality
The Receiving Party agrees to hold all Confidential Information in strict confidence and shall not disclose it to any third party without prior written consent. The information must only be used for the evaluation of the business relationship.
3. Term of Agreement
This Agreement and the confidentiality obligations herein shall remain in effect for a period of three (3) years from the Effective Date, or until such time as the Confidential Information enters the public domain through no fault of the Receiving Party.
Signed by authorized representatives of both parties.
